  1. Description of Coaching 

Coaching is a collaborative process built on trust and partnership. It is not a legal business partnership but rather a professional relationship where the Coach supports the Client in unlocking their personal and professional potential. Coaching is a thought-provoking and creative journey, aimed at helping the Client clarify their goals—whether personal, professional, or business-related—and implement actionable strategies to achieve them.

While coaching may touch on various aspects of the Client's life, it is important to note that coaching is not therapy, counselling, or medical treatment. It does not replace psychological, legal, or financial advice. The Client remains responsible for their decisions, actions, and overall well-being.
 

    2. Coach-Client Relationship 

The coaching relationship is a professional and confidential engagement, designed to facilitate the Client’s self-awareness, personal growth, and goal achievement. The Coach’s role is to support the Client through deep inquiry, curiosity, constructive challenge, and strategic reflection.

The Client acknowledges that:

  • They are solely responsible for their own physical, mental, and emotional well-being.

  • Coaching is not a substitute for medical or psychological treatment, and if such support is needed, the Client should seek assistance from appropriate professionals.

  • Coaching is an active process that requires commitment, engagement, and follow-through on insights and action plans.

  • The Client is responsible for raising any concerns or needs regarding the coaching process to ensure its effectiveness
     

    3. Services & Sessions 
This agreement commences on the date outlined in the relevant service description and remains in effect unless terminated as per clause 10.

Coaching sessions will be conducted remotely via Zoom or another agreed-upon platform. All coaching sessions, including any rescheduled sessions, must be completed within the timeframe specified in the relevant service description.

Clients may reschedule sessions with a minimum of 24 hours notice. Sessions cancelled with less notice, or missed without prior agreement, will be considered as taken and will not be rescheduled or refunded.
 

    4. Fees & Payment 

Fees for coaching services are outlined in the relevant service description

  • If a payment plan is available and agreed upon, the Client must adhere to the payment schedule. The full outstanding balance may become immediately due if a payment is missed.

  • Coaching fees are non-refundable except in cases where the Coach cancels a programme (excluding terminations under clause 10).

  • Payment covers the entire coaching programme, not individual sessions, and remains payable even if the Client chooses not to complete the programme.
     

    5. Confidentiality 
The coaching process is built on trust, and confidentiality is a fundamental part of this relationship. The Coach agrees not to disclose any information shared by the Client without prior written consent. However, confidentiality does not apply in the following circumstances:

  • The Coach had prior knowledge of the information before it was disclosed by the Client.

  • The information becomes public knowledge through no fault of the Coach.

  • Disclosure is required by law, court order, or regulatory authority.

  • The Coach believes there is an imminent risk of harm to the Client or others.

  • The Client discloses illegal activities.

The Client is encouraged to communicate any confidentiality concerns with the Coach at any time.

    6. Intellectual Property 

Any materials, tools, or resources provided by the Coach remain the intellectual property of AALIGN. These materials are for the Client’s personal use only and may not be shared, reproduced, or distributed without prior written permission from the Coach.

 

    7. Use of Personal Information 

The Client’s personal information will be used solely for the purposes of:

  • Delivering coaching services.

  • Processing payments.

  • Providing updates about relevant offerings (with the option to opt-out at any time).

Confidentiality is a key part of the coaching relationship. The Coach takes handwritten notes during sessions for reference, which are stored securely and destroyed 12 months after the final session. The Client’s data will not be shared with third parties without their explicit consent unless required by law.

    8. Limited Liability 

The Coach makes no guarantees regarding specific outcomes from coaching. Success in coaching is dependent on the Client’s engagement, effort, and follow-through.

The Coach is not liable for any indirect, consequential, or special damages that may arise. The total liability of the Coach under this agreement is limited to the amount paid by the Client for coaching services.

The Client acknowledges that all decisions, actions, and outcomes resulting from coaching sessions are their sole responsibility. The Coach provides guidance, support, and reflective space but does not make decisions on behalf of the Client. The Coach is not liable for any consequences—positive or negative—arising from the Client’s choices, actions, or inactions following coaching sessions.
 

    9. Dispute Resolution 

In the unlikely event of a dispute, both parties agree to attempt to resolve the matter amicably through mediation for a period of up to 30 days before pursuing legal action.

This agreement is governed by the laws of England and Wales, and both parties agree to the exclusive jurisdiction of the English courts.

Both parties agree not to engage in any conduct, including online communications or social media activity, that may disparage or harm the reputation of the other party.
 

    10. Termination of Agreement 

If the service description specifies a timeframe, this agreement will terminate at the end of that period unless otherwise extended by mutual agreement.

For ongoing coaching services with no fixed duration, either party may terminate the agreement with one month’s written notice. Immediate termination may occur if:

  • There is a material breach of contract that is not resolved within 30 days of written notice.

  • Either party faces insolvency under the Insolvency Act 1986.

  • The Coach determines that continued coaching is not in the best interest of the Client.

Termination does not affect any outstanding payments owed under this agreement.
